0. DEFINITIONS
In this Agreement:
"Platform" refers to the website and services operated by the Operator.
"Operator" refers to NewswireBiz, the entity operating this Platform.
"User", "You" refers to any individual or entity accessing or using the Platform.
"Content" refers to any press release, text, images, links, metadata, or other materials submitted, published, or distributed through the Platform.
1. ACCEPTANCE OF TERMS
By accessing or using the Platform, you agree to be bound by these Terms and any related policies.
If you do not agree, you must immediately stop using the Platform.
We may update or modify these Terms as described in Section 14 (Changes to Terms). Continued use of the Platform after the effective date of an update constitutes acceptance of the updated Terms.
2. NATURE OF SERVICE
The Platform is a user-generated content distribution service.
The Operator is not:
- A news agency
- A publisher
- A journalist entity
- A fact-checking service
The Operator does not:
- Verify Content accuracy
- Validate claims or statements
- Endorse Content
- Guarantee truthfulness or reliability of Content
All Content is provided by Users, and Users are solely responsible for it.
3. CONTENT SUBMISSION AND PLATFORM CONTROL
3.1 Submission Rights
By submitting Content, you represent that you have all necessary rights and permissions.
The Operator may accept, reject, or remove any Content at its sole discretion.
3.2 Editorial Rights
The Operator reserves the unrestricted right to:
- Edit
- Modify
- Reformat
- Rewrite
- Shorten
- Translate
- Add or remove links
- Apply rel="nofollow"
- Remove or replace any Content
at any time, with or without notice, for any reason, including but not limited to:
- Policy enforcement
- Spam prevention
- Legal compliance
- SEO optimization
- Platform integrity
- Operational requirements
Such actions do not constitute endorsement or verification of Content.
The User acknowledges and agrees that the Operator has no obligation to preserve the Content in its submitted form.
The User authorizes the Operator to make editorial, technical, formatting, compliance, moderation, SEO, or operational changes to Content without obtaining further approval from the User.
The Operator is not responsible for any loss, claim, or dispute arising from such modification, removal, formatting, translation, linking, or redistribution, except to the extent prohibited by applicable law.
3.3 Content Locking
Published or submitted Content may become non-editable at any time.
The Operator may disable, restrict, or permanently remove editing functionality.
No guarantee is provided that Users will retain any control over Content after submission.
3.4 Distribution Disclaimer
The Operator does not guarantee:
- Search engine indexing
- SEO ranking improvement
- Traffic
- Syndication
- External distribution
4. USER RESPONSIBILITY
Users are solely responsible for all Content they submit, including legality, accuracy, originality, and compliance with applicable laws.
Users agree not to submit Content that is:
- False or misleading
- Illegal or infringing
- Spam or automated
- Harmful or malicious
- Defamatory or abusive
5. CONTENT LICENSE
Users retain ownership of their Content.
By submitting Content, Users grant the Operator a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to:
- Use
- Host
- Store
- Reproduce
- Modify
- Adapt
- Edit
- Publish
- Translate
- Distribute
- Display
in any form or medium for operating, promoting, marketing, advertising, and improving the Platform.
The Operator may use third-party service providers, affiliates, contractors, marketing agencies, advertising partners, and other authorized partners to exercise the rights granted under this Section.
The Operator may send, or arrange for third parties, affiliates, contractors, service providers, marketing agencies, advertising partners, and other authorized partners to send, promotional, marketing, advertising, commercial, transactional, and other communications to Users, including email, electronic direct marketing (EDM), newsletters, offers, promotions, and advertisements, subject to applicable law.
6. ACCOUNT CONTROL
The Operator may, at its sole discretion:
- Suspend accounts
- Restrict access
- Terminate accounts
- Remove associated Content
- Block related accounts
at any time, with or without notice.
The Operator has no obligation to restore access or Content.
7. PROHIBITED CONTENT
The following Content is strictly prohibited:
- Illegal content or services
- Pornographic or adult content
- Hate speech or harassment
- Defamation or false accusations
- Malware, phishing, or malicious code
- Copyright infringement or stolen content
Financial or crypto-related Content must not:
- Guarantee returns
- Mislead users
- Violate applicable regulations
8. PAID SERVICES AND REFUNDS
Except where a refund is expressly required by applicable law, all payments are final and non-refundable.
The purchase of a paid service does not guarantee publication, continued availability, indexing, search engine visibility, traffic, distribution, ranking, acceptance, or any particular result.
The Operator may reject, modify, remove, suspend, restrict, or discontinue any paid Content or service at any time, including after payment, for legal, policy, security, operational, technical, or other reasons determined by the Operator.
To the maximum extent permitted by applicable law, such actions do not create any right to a refund, credit, compensation, or damages.
Any refund voluntarily issued by the Operator is discretionary and does not establish a precedent or obligation to issue refunds in similar circumstances.
9. SEO AND ANTI-SPAM POLICY
The Platform may not be used for:
- Link schemes
- SEO manipulation
- Bulk automated submissions
- Spam distribution
The Operator may modify or remove links at any time.
10. DISCLAIMER OF WARRANTIES
The Platform is provided "AS IS" and "AS AVAILABLE".
The Operator disclaims all warranties, including:
- Accuracy
- Reliability
- Availability
- Security
- Fitness for purpose
Use of the Platform is at your own risk, except to the extent applicable law does not permit such exclusion.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, revenue, business opportunities, goodwill, data, reputation, or anticipated savings.
The Operator shall not be liable for any loss arising from Content submitted by Users, modification or removal of Content, account suspension or termination, service interruption, search engine treatment, third-party distribution, indexing, ranking, traffic, or availability.
To the maximum extent permitted by applicable law, the Operator's aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the greater of:
(a) the amount actually paid by the User to the Operator for the specific service giving rise to the claim during the thirty (30) days preceding the event giving rise to the claim; or
(b) USD 100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
12. THIRD-PARTY CONTENT
The Operator is not responsible for external websites, links, or third-party content.
13. TERMINATION
The Operator may terminate or suspend access at any time without notice for any reason.
Termination or suspension will not affect any rights or obligations that accrued before termination.
Sections concerning Content licenses, disclaimers, limitation of liability, indemnification, dispute resolution, payment obligations, and any provisions that by their nature should survive termination will survive termination.
14. CHANGES TO TERMS
The Operator may modify, update, supplement, or replace these Terms at any time in its sole discretion.
The Operator may make changes effective immediately upon posting the revised Terms on the Platform.
The updated Terms may be made available solely by updating the Terms page, Terms link, footer link, or other location where these Terms are made available on the Platform. The Operator is not required to provide separate, individual, advance, or direct notice of changes, including by email, unless otherwise required by applicable law.
Non-material changes (such as clarifications, formatting, or corrections that do not affect User rights or obligations) may take effect immediately upon posting.
Changes will apply prospectively unless otherwise required or permitted by applicable law.
It is the User's responsibility to review the Terms periodically.
The effective date of the updated Terms may be stated on the Terms page or within the updated Terms.
Continued access to or use of the Platform after the effective date of a change constitutes acceptance of the updated Terms to the maximum extent permitted by applicable law.
If a User does not agree to an updated version of these Terms, the User must stop using the Platform before the effective date of the updated Terms.
15. INDEMNIFICATION
Users agree to defend, indemnify, and hold harmless the Operator, its affiliates, officers, directors, employees, contractors, agents, service providers, and partners from and against any claims, demands, actions, proceedings, damages, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- User Content;
- the User's use of the Platform;
- the User's conduct;
- violation of these Terms;
- violation of applicable law or third-party rights; or
- any claim that Content submitted by the User infringes, violates, or misappropriates any third-party right.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, shall be governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its rules then in effect, seated in Delaware, USA, and conducted in the English language. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may instead bring an individual, non-class claim in small claims court where the claim qualifies.
Notwithstanding the foregoing, nothing in this Section deprives a User who qualifies as a consumer under applicable law of any mandatory protection, or of the right to bring proceedings before the courts of the User's country or state of habitual residence, to the extent such protection or right cannot be waived under the law of that jurisdiction.
To the maximum extent permitted by applicable law, arbitration shall be conducted on an individual basis and not as a class, collective, consolidated, or representative action.
The arbitrator shall have no authority to award relief on behalf of any person other than the individual party to the arbitration.
The parties waive any right to trial by jury to the extent such waiver is enforceable under applicable law.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between User and Operator regarding the Platform.
18. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
19. NO WAIVER
The Operator's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
